These Terms of Service ("Terms") govern your access to and use of the VertData platform, data products, API, and websites operated by VertData, Inc. ("VertData", "we", "us", "our"). By accessing or using the Services, you agree to these Terms.
You must provide accurate registration information and keep it current. You are responsible for the security of your account credentials and for all activity under your account. Notify us promptly of any unauthorized use at security@vertdata.com.
You will not:
Subscription fees are billed in advance on the plan you select. Fees are non-refundable except where required by law. You are responsible for all taxes associated with your purchase, other than taxes based on VertData's net income. Failure to pay fees when due may result in suspension or termination of your account.
These Terms remain in effect while you use the Services. You may cancel your subscription at any time through your account settings; cancellation takes effect at the end of the then-current billing period. VertData may suspend or terminate your account for material breach, non-payment, or misuse. Sections that by their nature should survive termination (including §5, §6, §7, §8, §9, §10, §11) survive.
VertData retains Customer Data only as long as needed to provide the Services and comply with law. Detail is in the Privacy Policy §5 and the DPA §7. Summary:
Individuals appearing in VertData's public-record dataset may request removal per Privacy Policy §7.
Each party will protect the other's Confidential Information with the same degree of care it uses for its own confidential information (and no less than reasonable care). Confidential Information does not include information that is publicly available, independently developed, or lawfully received from a third party without confidentiality obligations.
VertData retains all right, title, and interest in and to the Services, the VertData platform, VertData Data, software, algorithms, scoring models, and related documentation, including all intellectual-property rights therein. No rights are granted except the limited license explicitly set out in these Terms.
The Services are provided "as is" and "as available." VertData does not guarantee that data is complete, accurate, or free from errors — public records vary in quality and freshness. To the maximum extent permitted by law, VertData disclaims all warranties, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, and non-infringement.
To the maximum extent permitted by law, neither party will be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or goodwill. Each party's aggregate liability arising out of or in connection with these Terms will not exceed the fees paid by Customer to VertData in the 12 months preceding the event giving rise to liability. These limits do not apply to liability that cannot be excluded by law (e.g., gross negligence, fraud, breach of confidentiality, or willful misconduct where the applicable jurisdiction prohibits limitation).
You will indemnify and hold harmless VertData and its officers, directors, employees, and agents from and against any third-party claims arising out of (a) your breach of these Terms, (b) your misuse of the Services, or (c) your violation of law in connection with the Services. VertData will indemnify you against third-party claims that VertData Data infringes valid US intellectual-property rights, subject to prompt notice and control of defense.
VertData complies with the GDPR, CCPA/CPRA, CAN-SPAM Act, and other applicable data-protection laws. Data-subject requests: email privacy@vertdata.com. Customers processing personal data through VertData can execute our standard DPA.
These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-laws rules. Any dispute will be resolved in the state or federal courts located in Delaware, and the parties consent to exclusive jurisdiction and venue there, except that either party may seek injunctive relief in any court of competent jurisdiction.
We may update these Terms from time to time. Material changes will be notified via email to account holders and posted here with a revised "Last updated" date. Continued use after the effective date constitutes acceptance.
